Terms of Service

1. Engagement & Services

Aphyx ("we", "our", "us") provides bespoke web architecture, UI/UX design, AI integration, and hosting services under a subscription or custom-project model. By engaging our services, you agree to these Terms.

2. Subscription Terms & 30-Day Pilot

• The 30-Day Pilot: Qualifying businesses receive a custom-built website upfront. If you are not completely satisfied at the end of the 30-day period, you may cancel with zero obligation.
• Billing: Subscriptions (Essential, Professional) are billed monthly in advance. Failure to remit payment after a 14-day grace period may result in a temporary suspension of hosting services.
• Cancelation: You can cancel your subscription at any time. Upon termination, custom code and IP handoffs are governed by Section 3.

3. Intellectual Property Ownership

You fully own your brand assets, content, and the final compiled website code. Aphyx retains ownership of our proprietary backend deployment architecture, proprietary AI-integration wrappers, and CMS mechanisms.

4. Use of AI Chat Agent (Aria)

The AI Chat agent is powered by Google Gemini. While we implement strict guardrails and prompt-engineering to keep the agent professional and focused on your brand, Aphyx is not liable for unintended or 'hallucinated' outputs generated by the foundational language model.

5. Fair Use & Maintenance

Monthly subscription plans include "Fair Use" maintenance updates (e.g., text swaps, minor image replacements, new blog posts). Complete structural redesigns or new feature builds requiring significant engineering hours will be quoted separately as custom projects.

6. Limitation of Liability

Our platform guarantees a 99.9% Uptime SLA. However, we are not directly liable for downtime originating from upstream infrastructure providers (Google Cloud, Cloudflare, Vercel).

7. Governing Law

These terms are governed by the laws of the Republic of Singapore. Any disputes shall be resolved in Singapore under the exclusive jurisdiction of its courts.

8. Promotional Offers

From time to time, Aphyx may offer time-limited promotions to qualifying customers as part of an enrolment or upgrade conversation. Where a promotion has been added to your account, the terms below apply.

• AI Autopilot — Six Months Complimentary. Customers enrolling in the Professional plan (or above) may, at Aphyx's discretion, receive the AI Autopilot module at the Starter tier (up to 200 conversations per calendar month) at no additional charge for the first six (6) calendar months from the enrolment date. The complimentary period is capped at 200 conversations per month; conversations in excess of the cap will be queued for response in the following month or, with your written approval, automatically uplifted to the AI Autopilot Growth tier billed at the prevailing list price.
• Auto-conversion at Month Seven. At the end of the six-month complimentary period, AI Autopilot will continue at the AI Autopilot Starter tier billed monthly at the prevailing list price (currently SGD 99 per month) unless cancelled. To cancel, you must provide written notice to billing@aphyx.live at least fourteen (14) days before the auto-conversion date.
• Eligibility & Forfeiture. The complimentary period is contingent on continuous active subscription to the underlying Professional or Accelerator plan. Downgrading to Essential, pausing the subscription, or cancelling during the complimentary period will end the offer immediately, with no pro-rata refund and no extension of the unused complimentary months.
• Non-transferable. Promotional offers are tied to the customer account on which they were activated and may not be transferred, gifted, or resold. Promotional offers may not be combined with other discounts or vouchers unless explicitly stated in writing by Aphyx.
• Withdrawal of Offer. Aphyx reserves the right to withdraw, modify, or vary any promotional offer prior to activation on a customer account. Once activated, the terms of the promotion as recorded in your customer record will be honoured for the stated duration.
